Audit Conditions

1. Overview

For the purpose of these Audit Conditions, ‘We’, ‘Us’, ‘Our’ or ‘Aspire Digitel Group’ shall mean the relevant Aspire Digitel Group entity You are contracted with for the provision of SaaS, Software, or Services (the ‘Contract’).
‘You’ (or ‘Yours’) shall mean you, the Customer (as per the relevant contract).
These Audit Conditions are to apply where You (or a third-party authorised by You) need to audit Us, as either agreed with Us or as permitted within the Contract.
In the event of conflict between these Audit Conditions and the Contract, these Audit Conditions shall prevail (strictly to the extent of such conflict only).
These Audit Conditions are subject to change from time to time. They were last updated: 1st February 2022

2. Conditions

You acknowledge and agree that all audits are subject to the following conditions:

  • You shall give us no less than 14 calendar days of Your intention to audit;
  • You shall submit all audit requirements in advance of the proposed audit date (and in any event within 7 calendar days);
  • You shall, where reasonable, accept documentation (or other evidence) to fulfil audit requirements in advance of the proposed audit date to minimise disruption to Aspire Digitel Group;
  • You will not record (by video or other means) anything in relation to the audit save for where Our prior written consent has been given;
  • Any third-party authorised by You to carry out the audit on Your behalf must bind themselves to confidentiality obligations with Us direct, in advance of the proposed audit date;
  • You will use all reasonable endeavours to minimise any business interruption to Us during the audit.

Where You fail to meet any one of the Audit Conditions, We reserve the right to, at Our discretion: a) postpone the audit; b) terminate the audit early; and c) request the immediate deletion or return (at Our request) of any recordings taken without Our prior written consent. Our rights are without prejudice to any other rights and remedies We may have.

3. Our Commitment

To ensure the safety and security of Us, Our customers, and Our representatives. All audits will be:

  • Remote only (where local Government advice mandates or otherwise recommends it);
  • Limited to half a day save for where expressly agreed otherwise with Us;
  • Conducted Monday to Friday excluding bank holidays and public holidays in the United Kingdom and during the hours of 0900 and 1700 (BST or GMT, as applicable); and
  • Conducted in accordance with Our ISO27001 controls. Further, We reserve the right (acting in Our sole discretion) to refuse the sharing of anything which may compromise: (i) the security of Us (including our data), Our customer’s data; or (ii) the rights and freedoms of Our representatives.

4. Costs

Save for where the Contract explicitly states otherwise, all audits are subject to a charge on a time and materials basis, at prevailing rates.
Our day rate applicable as of the date at the header of these Audit Conditions is £800.00
This rate is subject to change from time to time. On Your request We will provide You with an accurate quote.
